Review status
Version 1.0 is implementation-ready for operational review. Final legal approval must be completed by qualified UK counsel before these terms are relied on as binding production legal advice. Counsel sign-off: pending. Owner: TaxiCloud partner operations.
1. Eligibility and approval
Partner access is invitation-only or application-led. TaxiCloud may approve, reject, suspend, or terminate a partner account to protect customers, attribution integrity, legal compliance, or the TaxiCloud brand. Email verification and manual review are required before a partner account becomes payable.
2. Attribution
Attribution may use approved referral links, partner codes, campaign links, coupons, co-branded pages, or a written deal registration. Standard attribution lasts for the configured attribution window unless TaxiCloud approves a different written deal-protection period.
TaxiCloud may correct attribution where evidence shows a duplicate account, self-referral, cookie stuffing, misleading promotion, expired deal registration, customer referral priority, or a manually approved sales override.
3. Commission basis
Standard public affiliate commission is calculated only on eligible paid subscription revenue, excluding VAT, refunds, chargebacks, discounts, account credits, implementation projects, custom services, and any revenue TaxiCloud marks as non-commissionable.
Standard commission is 20% recurring for 12 months. Performance tiers and strategic partner rates apply only when TaxiCloud confirms them in writing or records them in an active strategic partner contract.
4. Payouts
Payouts start as monthly manual CSV export batches. A commission is not payable until the referred customer has paid, stayed active through the qualification period, and passed refund, chargeback, duplicate-account, self-referral, and fraud review.
The minimum approved balance for payout is £50 unless TaxiCloud agrees otherwise. Payment timing is Net-30 after qualification and batch approval. Payout instructions are stored encrypted and are not included in partner-facing screens or payout CSV exports in full.
TaxiCloud may later evaluate Stripe Connect, accounting software, or another regulated payout provider. Any such integration will be a separate operational and legal review, and the initial programme remains manual CSV-first.
5. Fraud, clawback, and withheld amounts
TaxiCloud may void, reverse, claw back, or withhold commissions, credits, coupons, and rewards linked to fraud, abuse, chargebacks, refunds, cancellations before qualification, misleading claims, spam, impersonation, duplicate accounts, self-referrals, or breach of these terms.
6. Partner marketing rules
Partners must make commercial intent clear wherever a referral link, coupon, commission, reward, or other material relationship exists. Partners must not imply that independent editorial content is independent if TaxiCloud pays or may pay for the referral.
Partners may use only approved TaxiCloud logos, copy, PDFs, email templates, coupons, screenshots, claims, comparisons, and migration one-pagers. Edited claims must be reviewed before publication.
7. Claims and substantiation
Claims about pricing, savings, uptime, migration timing, customer results, feature availability, compliance coverage, AI performance, or competitor comparisons must be accurate, current, source-backed, and not misleading by omission. Material conditions must appear close to the claim, not hidden in a distant disclaimer.
8. Email and direct marketing
Partners are responsible for complying with applicable privacy and direct-marketing laws, including PECR, UK GDPR, and equivalent local laws. Partners must not use bought lists, scraped contacts, disguised sender identities, missing unsubscribe details, or email outreach that relies on consent the partner cannot evidence.
9. Prohibited conduct
- Spam, cookie stuffing, forced clicks, hidden iframes, or fake leads.
- Self-referrals, duplicate accounts, or referral chains created to game rewards.
- Unauthorised brand-term PPC bidding or impersonating TaxiCloud.
- Misleading coupons, fake scarcity, fake discounts, or unapproved guarantees.
- Publishing unreviewed legal, regulatory, security, or performance claims.
- Using TaxiCloud assets after suspension, rejection, or termination.
10. Termination
Either party may end participation in the Partner Programme. TaxiCloud may immediately suspend or terminate access for suspected fraud, legal risk, brand misuse, security risk, or customer harm. Termination does not remove TaxiCloud's right to void or claw back non-qualifying commissions.
11. Relationship
These terms do not create an employment, agency, franchise, partnership, fiduciary, or joint-venture relationship. Partners may not bind TaxiCloud, make commitments on TaxiCloud's behalf, or present themselves as TaxiCloud staff.
12. Governing law
These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, except that either party may seek urgent injunctive relief in any competent jurisdiction.
